Enterprise-grade terms for TexoraPass customers using AI-assisted compliance workflows, Digital Product Passport operations, and traceability evidence management.

These terms are written for B2B SaaS use in global textile and apparel supply chains and are intended for professional legal review.
1. Acceptance of Terms
Using TexoraPass means your organization agrees to these terms.
- These Terms & Conditions form a legal agreement between TexoraPass and the business entity using the platform.
- By accessing or using the Services, you confirm you have authority to bind your organization.
- If you do not agree, do not access or use the Services.
2. Platform Overview
TexoraPass is a B2B SaaS platform for compliance and Digital Product Passport operations.
- TexoraPass provides document management, AI-assisted extraction, compliance workflow automation, traceability record organization, sustainability evidence handling, and QR-based Digital Product Passport outputs.
- The Services are designed for textile exporters, apparel manufacturers, suppliers, buyer teams, and supply-chain stakeholders.
- TexoraPass may add, update, or retire features over time.
3. Account Registration and Security
Customers must maintain accurate accounts and secure credentials.
- You must provide accurate, current registration information and keep it up to date.
- You are responsible for account access control, credential security, and actions taken using your accounts.
- You must promptly notify TexoraPass of suspected unauthorized access or security incidents.
4. User Responsibilities
Customers remain responsible for data quality, legal submissions, and internal approvals.
- You are responsible for the legality, accuracy, and completeness of uploaded content, including compliance documents and traceability evidence.
- You remain responsible for validating all submissions to buyers, regulators, auditors, and trade counterparts.
- You must ensure your use of the Services complies with applicable laws, trade rules, and contractual obligations.
5. AI Processing and Output Disclaimer
AI assists analysis; human review remains required.
- TexoraPass uses AI-powered extraction and analysis to assist with document structuring and workflow prioritization.
- AI-generated insights, classifications, and recommendations may be incomplete, inaccurate, or context-dependent and require qualified human review.
- TexoraPass does not guarantee regulatory certification, legal compliance approval, or buyer acceptance based on AI outputs.
6. Compliance, Traceability, and Digital Product Passport Limitations
The platform supports readiness and evidence management, not legal certification.
- TexoraPass helps centralize compliance and traceability workflows, including Digital Product Passport preparation and sustainability evidence records.
- TexoraPass is not a certification body, legal advisor, customs authority, notified body, or regulatory agency.
- Regulatory interpretation, final product claims, and legal compliance determinations remain your responsibility.
7. Data Ownership and License
Customers own their business data; TexoraPass gets a limited license to operate the service.
- As between the parties, you retain ownership of your uploaded documents, records, and business data.
- You grant TexoraPass a limited license to host, process, analyze, transmit, and display Customer Data as needed to provide, maintain, secure, and improve the Services.
- You represent that you have rights and permissions necessary to submit and process Customer Data.
8. Intellectual Property
TexoraPass retains ownership of platform technology and product IP.
- TexoraPass and its licensors own all rights in the Services, software, models, interface design, workflows, branding, and related intellectual property.
- No rights are granted except as expressly stated in these Terms.
- Feedback may be used by TexoraPass without restriction or compensation obligation.
9. Subscription, Billing, and Renewals
Paid access follows your commercial order terms.
- Fees, billing cycles, payment terms, and renewal mechanics are defined in your order form, proposal, or subscription agreement.
- Unless otherwise agreed, fees are non-refundable and due on the agreed schedule.
- Late or failed payments may result in service limitations, suspension, or termination.
10. Permitted and Prohibited Use
Use the platform for lawful business purposes only.
- You may not use the Services for unlawful, deceptive, infringing, harmful, or unauthorized activities.
- You may not reverse engineer, benchmark without consent, disrupt service integrity, or attempt unauthorized access.
- You may not upload malicious code, unlawful content, or data you are not authorized to process.
11. Export Compliance Responsibilities
Trade, customs, and export compliance obligations stay with the customer.
- You are solely responsible for export-control, sanctions, customs, product safety, and market-entry obligations applicable to your operations.
- TexoraPass outputs are workflow support tools and not legal determinations, import/export approvals, or customs clearances.
- You must obtain independent legal or regulatory advice where required.
12. Third-Party Services and Integrations
Third-party systems are governed by their own terms.
- The Services may connect with third-party systems, storage providers, analytics tools, or identity services.
- Use of third-party services is subject to their own terms, privacy policies, and availability.
- TexoraPass is not responsible for third-party products, content, or service interruptions outside TexoraPass control.
13. Service Availability and Changes
TexoraPass aims for reliable service but cannot guarantee uninterrupted operation.
- TexoraPass may perform maintenance, updates, security enhancements, and infrastructure changes.
- Temporary interruptions may occur due to maintenance, incidents, or third-party dependencies.
- TexoraPass may modify features to improve performance, security, and compliance outcomes.
14. Suspension and Termination
Access may be suspended for risk, breach, or non-payment.
- TexoraPass may suspend or limit access for material breach, security risk, legal requirement, or overdue payment.
- Either party may terminate as set out in the applicable order or subscription terms.
- Upon termination, rights to use the Services end, subject to agreed data export or retention provisions.
15. Warranties Disclaimer
Services are provided on an as-is and as-available basis, except where law requires otherwise.
- To the maximum extent permitted by law, TexoraPass disclaims implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
- TexoraPass does not warrant that Services will be uninterrupted, error-free, or produce specific commercial outcomes.
16. Limitation of Liability
Liability is limited to protect both parties from disproportionate risk.
- To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, punitive, or consequential damages, including lost profits or business interruption.
- TexoraPass aggregate liability arising out of or related to the Services will not exceed amounts paid by Customer to TexoraPass for the Services in the 12 months preceding the claim, unless otherwise agreed in writing.
17. Indemnification
Customers defend claims arising from their data and misuse.
- You agree to defend, indemnify, and hold harmless TexoraPass from third-party claims arising from Customer Data, unlawful use, or breach of these Terms.
- TexoraPass will reasonably cooperate in defense where required.
18. Governing Law and Dispute Resolution
Legal framework applies as set in your commercial agreement.
- These Terms are governed by the law specified in your order form or master agreement. If not specified, the governing law will be determined by TexoraPass principal place of business.
- Parties agree to attempt good-faith business resolution before formal proceedings.
19. Updates to These Terms
TexoraPass may update terms as the platform and legal requirements evolve.
- TexoraPass may revise these Terms by posting an updated version with a revised Last Updated date.
- Material changes may be communicated through the platform or by email.
- Continued use of the Services after an effective update constitutes acceptance of revised Terms.
